Agreement and Parties

  • This Driver Agreement is a legally binding agreement between A&S Signatures Ltd, company number 15693230, trading as Cully Express (Cully Express, we, us or our), and the individual approved to use a Driver account (the Driver or you). It governs your access to the Cully Express platform and each delivery service you choose to accept through it.
  • Cully Express operates the ordering and delivery platform. Restaurants prepare and package orders, customers purchase them, and approved Drivers independently provide delivery services for delivery orders they accept. Collection orders are fulfilled by the restaurant and customer and are not Driver delivery opportunities.

Independent Contractor Relationship

  • The parties intend that you provide delivery services as an independent contractor carrying on business on your own account. Nothing in this Agreement creates employment, worker status, agency, partnership or a joint venture, and you have no authority to bind Cully Express, a restaurant or a customer.
  • You decide when to make yourself available and whether to accept an available delivery. There are no fixed or minimum hours, mandatory shifts, exclusivity requirements or continuing obligations on either party to offer or accept work. You may provide services to other businesses, including competing platforms, provided that doing so does not breach this Agreement or compromise an accepted delivery.
  • You are responsible for your own tax affairs, National Insurance, registrations, equipment, vehicle and business expenses. Cully Express does not guarantee minimum earnings, a minimum number of deliveries, an exclusive territory or any future work.
  • Employment and tax status depend on applicable law and the reality of the relationship, not only its contractual label. Nothing in this Agreement removes any statutory right that applies to you notwithstanding the parties’ stated intention.

Approval

  • Cully Express completes the required agreement, checks and provisioning outside the iOS app before issuing Driver credentials. Signing in does not create, activate or establish a Driver commercial account. Only an existing Driver account marked approved and enabled can accept orders.
  • Cully Express may request and review identity, right-to-work information where legally required, driving licence, vehicle, insurance, profile photograph and banking information. The app supports image or PDF uploads for identity, licence and insurance review. Providing a file does not itself amount to approval.
  • Cully Express may review approval at any time, and continued access depends on your information and documents remaining accurate, current and valid. You must notify Cully Express promptly of any material change. A disabled Driver cannot enable the account in the app.

Driver Responsibilities

  • You must hold every valid licence, permission and right to work or provide services required for your circumstances; use a lawful, suitable and roadworthy vehicle; comply with road-traffic, parking, health and safety, food-safety and other applicable laws; and never drive while distracted, impaired, dangerously tired or otherwise unsafe.
  • You must act professionally and courteously towards customers, restaurant personnel, the public and Cully Express support; communicate only as reasonably required for the order; follow lawful restaurant pickup and customer delivery instructions; and report accidents, threats, food-safety concerns, suspected fraud, lost or damaged orders and other serious incidents promptly.
  • You must keep food in the restaurant’s sealed or closed packaging, use clean and suitable insulated or temperature-control equipment where appropriate, protect it from contamination, tampering and avoidable delay, and keep allergen-marked or specially identified items distinguishable. You must not open, consume, alter or substitute order contents.
  • The production platform does not implement an age-verification workflow for age-restricted goods. You must not knowingly accept or complete a delivery requiring an unsupported statutory age check and must contact support if an order appears to contain such goods.

Deliveries

  • Only an authenticated Driver whose account is approved, enabled and operationally available may receive or claim eligible delivery work. Available delivery orders enter the Driver queue when the restaurant marks them ready for pickup, subject to the Driver’s configured delivery zone and any direct assignment.
  • You may accept or decline an available order. A decline only removes that offer from your current view. Acceptance is a transactional claim: another Driver may claim the order first, and no delivery contract arises for you unless the platform confirms assignment.
  • After assignment, you must collect the correct sealed order from the restaurant, update the production statuses accurately from Driver Assigned to Picked Up, On the Way and Delivered, and complete the delivery safely and without avoidable delay. You must not mark a status before the corresponding event has occurred.
  • Restaurant delay, an unsafe pickup, a changed or cancelled order, inability to continue, or any conflict in the app must be escalated promptly to support. Do not take or retain an order after cancellation unless Cully Express gives instructions.

Scheduled Orders, Collection and Delivery Pauses

  • A scheduled delivery is not shown as available merely because it was booked. It becomes operational only when its scheduled workflow activates and the restaurant progresses it to ready for pickup. Timing remains an estimate, and you should accept it only if you can complete it within the displayed operational window.
  • Collection orders must not be claimed or handled as Driver deliveries. A restaurant delivery pause, closure, distance band, service-zone setting, scheduling restriction or lack of an eligible Driver may prevent an order from being offered. No such setting guarantees work to any Driver.

Proof of Delivery

  • Drivers must follow the pickup and handover steps shown in the app for each order, including marking an order as picked up and as delivered at the appropriate point, so customers, restaurants, and Cully Express have an accurate record of order progress.
  • Marking an order as delivered confirms, to the best of your knowledge, that the correct order was handed to the customer or left in accordance with lawful delivery instructions. The current production workflow records status, assignment, timestamps and contact events; it does not require a delivery photograph or customer signature for every order.
  • Where support or a refund review reasonably requests a statement, photograph or other evidence that the production workflow supports, you must provide an accurate account and any evidence lawfully held by you. You must not fabricate proof, photograph people unnecessarily, or retain delivery evidence for personal use.

Failed Deliveries

  • If a customer is unavailable, an address is incorrect or inaccessible, the order is lost or damaged, or continuing would be unsafe or unlawful, you must make reasonable contact attempts using the available tools, preserve the food safely where possible, and promptly ask support for instructions.
  • You must not abandon, dispose of, keep or redirect an undelivered order without reporting it and following reasonable instructions. Cully Express will determine the operational outcome and any cancellation, refund, redelivery or liability review using the available records and evidence.

Vehicle Requirements

  • You supply and pay for your own vehicle, fuel, charging, telephone, data, navigation, protective equipment and other tools and expenses. Your vehicle and equipment must be lawful, safe, roadworthy, clean and suitable for the delivery, with any required registration, tax and MOT kept current.
  • You must maintain accurate profile, address, vehicle, licence, identity, delivery-zone and banking information. You must stop accepting deliveries immediately if your licence, vehicle, health or another circumstance makes driving or delivery unlawful or unsafe.

Insurance

  • Where a motor vehicle is used, you must maintain at your expense all insurance required by law and by the way you use that vehicle, including cover valid for food delivery or carriage for hire or reward where applicable. Ordinary social, domestic and pleasure or commuting cover may not be sufficient.
  • You must provide accurate insurance information and evidence when requested, comply with policy conditions and notify Cully Express immediately if cover expires, is cancelled, becomes invalid or excludes your delivery activity. Cully Express does not arrange or warrant your insurance.

Delivery V2, Fees and Earnings

  • Delivery eligibility and customer delivery fees are calculated by the production Delivery V2 configuration using the restaurant and customer postcode locations, straight-line distance, active distance bands, service zones and server-authoritative pricing. You cannot set or alter those bands or the amount charged to the customer.
  • The order record shows the applicable delivery fee and Driver payout snapshot. Cully Express may retain the configured delivery-fee commission. Your gross Driver earning for a completed delivery is the delivery fee less that delivery-fee commission, subject to the order snapshot and the adjustments, reversals and recoveries described below.
  • An offer is not a wallet balance and does not become a payable earning merely because it is displayed, claimed, picked up or marked delivered. The production system creates the Driver earning when an eligible delivered order is finalised as completed and its payment state supports completion.

Payouts and Reconciliation

  • Driver earnings are recorded as unpaid until an active administrator verifies and records an external payout with a payout reference. The platform does not currently provide instant or automatic Driver payouts, an in-app wallet, cash-on-delivery settlement or customer cash collection.
  • You must keep accurate bank-account holder, bank name, account number and sort-code information in your Driver profile. You are responsible for loss or delay caused by information you supply incorrectly, except to the extent caused by Cully Express failing to use corrected information after a reasonable opportunity.
  • The amount paid may reflect refund reversals, open Driver liabilities and authorised payout adjustments. Cully Express will maintain records of the gross earning, deductions, recoveries, net amount, payout status and reference. You should report a suspected discrepancy promptly so it can be reviewed.

Refunds and Driver Liability

  • Customer refund rights and the platform process are governed by the Customer Terms and Refund Policy. A refund request does not automatically establish Driver fault or liability. Cully Express makes the final platform decision after considering the reason, order record, payment state, timing, available evidence, any restaurant response and any relevant Driver account.
  • Reasons such as an order never arriving, delivery to the wrong address, or food becoming cold after a substantiated delivery delay may be allocated to the Driver after review. Restaurant preparation or item issues may be allocated to the restaurant; platform failures may be allocated to Cully Express; and responsibility may be shared or reassigned where the evidence supports that outcome.
  • You must provide a truthful statement and relevant evidence reasonably requested for a review. Photographs are requested only where applicable and supported, and absence of a photograph alone does not create automatic liability where the production workflow did not require one.
  • Cully Express may create a Driver liability only after the applicable review and may notify you in-app or by push notification where enabled. An active administrator may review, reduce, waive, close or transfer a liability. Open amounts may be recovered from later Driver earnings or payout processing and will be shown in Driver earnings and recovery records.

Adjustments, Chargebacks and Fraud

  • Cully Express may make a proportionate adjustment or recovery for an approved refund, duplicate or erroneous credit, reversed or failed payment, chargeback, fraud, misdelivery, loss, or other amount properly attributable to the Driver. No deduction makes you liable for a restaurant or platform failure that is not attributable to you.
  • A cardholder chargeback is handled through Stripe and the relevant banks or card networks. It does not by itself prove Driver fault. Driver liability depends on the evidence and allocation decision, and any correction following a successful defence or later reconciliation must be reflected in the financial records.
  • Operational reporting periods do not remove a customer’s statutory rights or prevent a late claim where the law requires it to be considered. Cully Express may investigate suspicious claims, evidence, account sharing, collusion or repeated anomalies and may preserve relevant records while the investigation or a legal dispute remains open.

Account Suspension

  • Cully Express may temporarily suspend, disable or restrict a Driver account where reasonably necessary for a document review, suspected fraud, unsafe driving, food-safety concern, repeated substantiated complaints, data misuse, account sharing, credential compromise, regulatory or insurer action, serious misconduct, non-payment risk, investigation or breach of this Agreement.
  • Cully Express may act immediately where required to protect customers, restaurants, the public, data, funds or the platform. Where reasonably practicable and lawful, we will explain the reason and provide an opportunity to supply relevant information or request review through support@cullyexpress.com.
  • Suspension does not cancel accrued legitimate earnings, but payment may be deferred to resolve refunds, chargebacks, fraud, reconciliation, liabilities or legal obligations. Reinstatement may require updated documents or corrective action and is not guaranteed.

Termination

  • You may stop making yourself available at any time and may end this Agreement by requesting account closure. Cully Express may terminate access on reasonable notice or immediately for serious breach, fraud, violence, deliberate food tampering, dangerous conduct, unlawful activity, material data misuse, repeated serious service failure or where continued access would create a legal, regulatory, insurance, safety or security risk.
  • On termination you must stop presenting yourself as connected with Cully Express, cease using platform branding and customer or restaurant information, complete or follow support instructions for any accepted delivery, and return or securely delete information that you are not legally required to retain.
  • Termination does not affect accrued rights, legitimate unpaid earnings, existing liabilities, investigations, audit records or provisions intended to survive, including confidentiality, data protection, intellectual property, payment, liability and dispute terms.

Privacy

  • Cully Express processes Driver identity, contact, profile, vehicle, licence, insurance, banking, availability, assignment, order, contact-event, earnings, payout, liability, support, security and audit information as described in the Privacy Policy. The app does not implement continuous background Driver GPS tracking.
  • You may use customer, restaurant and order information only to assess an available offer and complete or resolve the specific delivery. You must not copy, sell, disclose, retain for personal use, use for marketing, add anyone to a personal contact list, or contact them after the operational need ends.
  • You must keep information confidential, minimise what you access or record, protect your device and delivery records, and securely delete personal data when it is no longer required for the delivery, an active dispute or a legal obligation. Report any loss, unauthorised access or suspected personal-data breach immediately.

Account and Platform Security

  • Your Driver account is personal because approval and documents are tied to your identity. You must keep your email account, password, device and authentication session secure; must not share, transfer, lend or sell the account; and must not allow another person to perform a delivery under your identity.
  • You must promptly report suspected compromise, unauthorised use, phishing, fraud or loss of a signed-in device. You must not bypass Firebase Authentication, App Check, security rules, assignment controls, audit logging or any other platform safeguard.

Intellectual Property

  • Cully Express and its licensors own the app, platform, software, databases, designs, Cully Express name, trade marks and platform materials. We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to use them only to provide services under this Agreement.
  • You retain ownership of your own name, profile photograph, business identity and other original material you submit. You grant Cully Express a worldwide, non-exclusive, royalty-free licence for the term of this Agreement and any necessary wind-down period to host, reproduce and display that material only as reasonably needed to review your account, identify you, operate deliveries, provide support and keep required records.
  • The operational licence ends when no longer needed after termination or deletion, except for material lawfully retained for disputes, fraud, safety, accounting or legal compliance. You must not use Cully Express branding outside authorised platform activity or suggest employment, agency, sponsorship or endorsement.

Account Deletion

  • You may request account closure using the available in-app route or support@cullyexpress.com. The request creates a pending case for controlled administrative processing and does not immediately erase an active account.
  • Deletion is deferred while you have a non-terminal assigned delivery and may be deferred while outstanding earnings, refunds, liabilities, chargebacks, fraud or safety investigations, disputes, payment reconciliation or legal obligations must be resolved.
  • When deletion completes, Cully Express deletes the authentication account, Driver profile, notification preferences and tokens, role-specific support and workflow records, profile photograph and Driver document storage covered by the production cleanup. Order, earnings, payout, ledger, liability, recovery, legal-acceptance, deletion and audit records may be retained and pseudonymised where necessary for accounting, fraud, safety, disputes and legal obligations, as explained in the Privacy Policy.

Records, Notifications and Audit

  • Cully Express may keep order-status, assignment, contact-event, earnings, payout, liability, refund, support, approval, account-action and security records to operate and protect the service, reconcile money, investigate incidents and demonstrate authorised actions.
  • Push notifications are an optional convenience and may include order, refund, liability or account events. Delivery is not guaranteed. You remain responsible for checking the in-app order and earnings state while providing a delivery and for contacting support when the displayed state appears wrong.

Liability

  • Each party is responsible for loss reasonably caused by its own breach, negligence, unlawful act or omission. A restaurant remains responsible for preparing, describing, packaging and making its food safe; a Driver is responsible for lawful and safe transport, custody and handover after pickup; and Cully Express is responsible for its own platform operation and decisions.
  • You are responsible for reasonably foreseeable loss caused by unsafe or unlawful driving, invalid insurance, food tampering or contamination in your custody, theft, deliberate misdelivery, fraud, data misuse or another material breach by you. You are not automatically responsible for restaurant preparation, ingredients or packaging defects, customer error, or a platform failure outside your control.
  • Neither party is liable to the other for loss that was not reasonably foreseeable when this Agreement was made, or for indirect business loss that is not the direct result of its breach. Cully Express does not guarantee uninterrupted platform availability, delivery opportunities, earnings, customer demand or restaurant participation.
  • Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, deliberate misconduct, breach of data-protection obligations where liability cannot lawfully be excluded, or any other liability or statutory right that cannot lawfully be excluded or limited. Nothing limits a customer’s statutory rights.

Events Outside Reasonable Control

  • Neither party is responsible for delay or failure caused by an event genuinely outside its reasonable control, including severe weather, road closure, emergency, network or utility failure, government action or widespread service interruption, provided that the affected party takes reasonable steps to reduce the effect and communicates promptly.
  • This clause does not excuse unsafe driving, misuse of food or data, failure to report an accepted delivery problem, payment of an accrued legitimate earning, or any obligation or liability that cannot lawfully be excluded.

Changes, Law and Notices

  • Cully Express may update this Agreement for legal, safety, operational or platform changes. Cully Express will provide appropriate notice and manage any required commercial acceptance outside the iOS app.
  • This Agreement and any non-contractual dispute are governed by the law of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory right that gives an individual access to another court or tribunal. Nothing in this Agreement prevents either party from exercising a statutory employment, tax, data-protection or other non-excludable right.
  • Notices and complaints may be sent to support@cullyexpress.com or to the registered office in the Company Information section. Include enough detail for Cully Express to investigate. We will acknowledge and review the issue, may request evidence, and will communicate the outcome or next step within a reasonable period.
